Terms of service

The deal, in plain English.

Effective August 25, 2026.

1. Who you are contracting with

SeedStand is operated by Sequel Solutions LLC, a limited liability company registered in the State of Michigan, United States.

"We" and "us" mean Sequel Solutions LLC. "You" means the organisation that opens a SeedStand account — usually a conservation district, soil-and-water district, or nonprofit.

2. What we provide

Software to run a plant sale: a public storefront, order taking online and by hand, one shared inventory across both, nursery reconciliation, customer communications, pickup-day check-in, and reporting. We host it and keep it running.

We are not a party to the sale itself. You sell plants to your customers. We are the software you do it on. Your relationship with your customers — what you promise them, what you substitute, what you refund — is yours.

3. What it costs

The current prices are published at /pricing and form part of these terms. In summary: a season licence, plus a percentage of what you take on cards. Card processing is billed at our processor's cost and we take no margin on it. Checks, cash and paper orders never carry a fee.

If we change prices, the change applies to your next season, not the one you are in the middle of.

4. Your data is yours

You own your catalogue, your orders, and your customer list. We claim no ownership of it and we will not sell, rent, or broker it. You can export it in full at any time without asking us, and you do not need our cooperation to leave.

We process personal data on your instructions, as described in the privacy policy. Where the law makes you the controller and us the processor, that is the relationship we intend.

6. Payments to you

Where you enable card payments, they are processed by Stripe under Stripe's own agreement with you. Card details are never collected or stored by us. Money from checks and cash never passes through us at all — you collect it directly.

7. Uptime, and what happens when we get it wrong

We work hard to keep the service available, particularly during ordering windows and on pickup days, but we do not offer a contractual uptime guarantee at this price. The service is provided "as is", without warranties beyond those the law does not let us exclude.

Our total liability to you is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect or consequential loss. Nothing here limits liability for fraud, or for anything else that cannot lawfully be limited.

8. Ending it

You may stop using the service at any time; season fees already paid are not refundable once a season has opened for ordering. We may suspend an account that is being used unlawfully or that puts the service or other districts at risk, and we will tell you why.

On termination you keep the right to export your data for 90 days. After that we delete or anonymise it as described in the privacy policy.

9. Changes, and the law that applies

If we change these terms materially we will email district administrators rather than quietly editing the date. These terms are governed by the laws of the State of Michigan, United States.
